1. Acceptance of Terms
By accessing or using the Beezsplit platform ("Service"), operated by Atlas Holdings ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of the terms and conditions set forth herein, you must not access or use the Service.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and the Company. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Beezsplit is a business formation and operations platform that provides the following services:
- Business Entity Formation: Tools and guided workflows for configuring and filing business entities across all 50 U.S. states, including LLCs, corporations, series LLCs, DAO LLCs, nonprofits, and other entity types.
- Compliance Monitoring: Continuous compliance tracking, automated filing reminders, health scores, and deadline management to help you stay in good standing with state and federal requirements.
- Plugin Marketplace: A marketplace of 200+ third-party integrations for banking, payments, payroll, accounting, legal, insurance, and other business services.
- AI Copilot Assistance: An AI-powered assistant that provides contextual guidance on entity selection, formation workflows, compliance tasks, and general business operations.
The Service may be updated, modified, or expanded at our discretion. We reserve the right to add, modify, or discontinue features or functionality at any time.
3. Account Registration & Security
To use certain features of the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete registration information.
- Maintain and promptly update your account information to keep it accurate and complete.
- Maintain the confidentiality of your account credentials and restrict access to your account.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised, are being used fraudulently, or are in violation of these Terms.
4. User Responsibilities
You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and ordinances. You agree not to:
- Use the Service for any unlawful purpose or to form entities for illegal activities.
- Provide false, misleading, or fraudulent information during entity formation or any other process.
- Attempt to gain unauthorized access to other users' accounts, the Service's systems, or related networks.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any aspect of the Service.
- Use automated systems (bots, scrapers, etc.) to access the Service without our prior written consent.
- Resell, sublicense, or redistribute access to the Service without authorization.
You acknowledge that you are solely responsible for verifying the accuracy of all filings, documents, and entity configurations generated through the Service before submission to any government authority.
5. Fees & Payment
Beezsplit offers the following subscription tiers:

Subscription fees are billed monthly or annually in advance. All fees are non-refundable except as required by law or as expressly stated in our refund policy. State filing fees, government fees, and third-party service fees are charged separately and are non-refundable.
We reserve the right to modify pricing at any time. Changes to subscription pricing will take effect at the start of your next billing cycle, and we will provide at least 30 days' notice of any price increase.
6. Entity Formation Disclaimers
IMPORTANT: Beezsplit is NOT a law firm and does NOT provide legal advice.
The Service provides legal information, tools, and document preparation assistance to help you form and manage business entities. This information is provided for general informational purposes only and does not constitute legal advice, tax advice, or professional counsel of any kind.
No attorney-client relationship is created by your use of the Service. The information and documents provided through the Service are not a substitute for the advice of a qualified attorney licensed in your jurisdiction.
You acknowledge and agree that:
- You should consult with a licensed attorney before making legal decisions about entity formation, governance, or compliance.
- Document templates and generated filings are provided as starting points and may require customization for your specific circumstances.
- We do not guarantee the approval of any filing by any government authority.
- Laws, regulations, and filing requirements vary by jurisdiction and change over time. We make reasonable efforts to keep our information current but cannot guarantee its completeness or accuracy at all times.
7. AI Copilot Disclaimers
The Beezsplit AI Copilot is an artificial intelligence-powered tool that provides informational guidance related to entity formation, compliance, and business operations. You acknowledge and agree that:
- AI Copilot outputs are informational only and do not constitute legal, financial, tax, or professional advice.
- AI-generated recommendations, analyses, and suggestions may contain errors, omissions, or inaccuracies. You are responsible for independently verifying all AI outputs before relying on them.
- The AI Copilot does not have knowledge of all applicable laws, regulations, or facts relevant to your specific situation.
- You should not make consequential business, legal, or financial decisions based solely on AI Copilot outputs without consulting qualified professionals.
- We do not warrant that AI Copilot outputs are complete, accurate, or suitable for your particular use case.
8. Third-Party Plugins
The Beezsplit Plugin Marketplace provides access to third-party services and integrations. By activating and using third-party plugins, you acknowledge and agree that:
- Third-party plugins are provided by independent service providers, not by Beezsplit. Each plugin is subject to the terms and conditions of its respective provider.
- Beezsplit is not responsible for the availability, reliability, accuracy, or quality of any third-party plugin or service.
- Your use of third-party plugins may require you to accept additional terms and share data with the plugin provider. You are responsible for reviewing and understanding those terms.
- We do not endorse, warrant, or assume liability for any third-party plugin, product, or service.
- Any disputes arising from your use of a third-party plugin must be resolved directly with the applicable provider.
9. Intellectual Property
All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, software, code, AI models, and documentation, are the exclusive property of Atlas Holdings or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of all data, documents, and content you create or upload through the Service. By using the Service, you grant us a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Service to you.
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service, unless applicable law expressly permits such activity.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL ATLAS HOLDINGS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Atlas Holdings and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of the Service or any activity under your account.
- Your violation of these Terms or any applicable law or regulation.
- Any content or data you submit, post, or transmit through the Service.
- Your violation of any rights of a third party.
- Any entity formed through the Service and its operations, activities, or obligations.
12. Termination
You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to access and use the Service will cease immediately.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms. We may also terminate or suspend the Service entirely at our discretion.
Upon termination, Sections 6, 7, 9, 10, 11, 13, and 14 of these Terms shall survive and continue in full force and effect. We will make commercially reasonable efforts to allow you to export your data for a period of 30 days following termination, after which your data may be permanently deleted.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and the parties hereby consent to the personal jurisdiction and venue of such courts.
14. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.
The arbitration shall be conducted in Wilmington, Delaware, before a single arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award rendered may be entered in any court having jurisdiction thereof.
CLASS ACTION WAIVER: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
15. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect, by posting a notice on the Service or by sending an email to the address associated with your account.
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.
